PLEASE READ THESE TERMS AND CONDITIONS (“TERMS,” “TERMS AND CONDITIONS,” OR “AGREEMENT”) CAREFULLY BEFORE USING THE SERVICES OFFERED BY AGE OF GENEROSITY, LLC. BY USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.

1. ACCEPTANCE OF TERMS

1.1 Agreement

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you,” “your,” “User,” “Customer,” or “Assessment Recipient”) and Age of Generosity, LLC, a Georgia limited liability company (“Company,” “we,” “us,” or “our”), concerning your access to and use of the WISEgenerosity website (https://wisegenerosity.com) as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto, and all services offered thereunder (collectively, the “Services”).

1.2 Supplemental Terms

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason.

1.3 Electronic Agreement

By clicking “I Agree,” purchasing a subscription, completing an assessment, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. This Agreement may be executed electronically and such electronic execution shall have the same force and effect as an original signature.

2. DEFINITIONS

For purposes of this Agreement:

  • “Advance” means the subscription service designed for nonprofit leaders
  • “Assessment” means the Personal Generosity Identity (PGI) assessment and/or the Generosity Personality Types assessment
  • “Assessment Data” means all information collected through Assessments, including responses, results, and derived analytics
  • “Assessment Recipient” means an individual who receives and completes an Assessment via a unique link provided by a Customer
  • “Confidential Information” means all non-public, proprietary information disclosed by either party
  • “Customer” means an entity or individual that purchases a subscription to the Services
  • “Customer Data” means all data submitted by or on behalf of Customer through the Services
  • “Deepen” means the subscription service designed for professional advisors
  • “Effective Date” means the date you first access or use the Services
  • “Intellectual Property Rights” means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark rights, trade secret rights, and all other intellectual property rights
  • “Services” means all products, services, assessments, content, features, and applications offered by WISEgenerosity
  • “Subscription Term” means the period during which a Customer has paid access to the Services

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age Requirement

By agreeing to these Terms, you represent and warrant that you are at least 18 years of age. Individuals under 16 years of age are strictly prohibited from using the Services without parental consent as detailed in our Privacy Policy.

3.2 Geographic Restrictions

 THE SERVICES ARE AVAILABLE ONLY TO USERS LOCATED IN THE UNITED STATES. By using the Services, you represent and warrant that you are physically located within the United States. We reserve the right to restrict access to the Services from other territories at our sole discretion.

3.3 Capacity

You represent and warrant that you have the legal capacity and authority to enter into this Agreement and to perform your obligations hereunder. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind such organization to these Terms.

3.4 Account Creation

To access certain features of the Services, Customers must register for an account. When you register for an account, you agree to:

a. Provide true, accurate, current, and complete information
b. Maintain and promptly update such information
c. Maintain the confidentiality of your account credentials
d. Accept responsibility for all activities that occur under your account
e. Immediately notify us of any unauthorized use of your account or any other breach of security
f. Not use the account of another person without authorization
g. Not create more than one account for yourself without our express written permission

3.5 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your account. We will not be liable for any loss or damage arising from your failure to maintain the security of your account.

3.6 Assessment Recipient Registration

Assessment Recipients are not required to create accounts but must provide accurate name and email information to complete Assessments. By providing such information and completing an Assessment, Assessment Recipients agree to these Terms and consent to data sharing as described herein and in our Privacy Policy.

4. SUBSCRIPTION SERVICES

4.1 Service Offerings

The Company offers the following subscription services:

a. Advance Subscription: Annual subscription service at $2,499 per year for nonprofit leaders
b. Deepen Subscription: Annual subscription service at $3,199 per year for professional advisors

Each subscription includes unlimited distribution of Assessments during the Subscription Term, subject to Fair Use provisions in Section 4.8.

4.2 Subscription Term and Renewal

a. Initial Term: Subscriptions are for a one-year term commencing on the date of purchase
b. Automatic Renewal: Subscriptions automatically renew for successive one-year terms unless canceled
c. Renewal Notice: We will send renewal reminder notices at least 30 days before renewal
d. Cancellation Deadline: Cancellations must be completed at least 24 hours before renewal date

4.3 Price Lock Guarantee

Your subscription will renew at the same price at which you initially subscribed. Price increases will only apply to new subscribers or upon explicit agreement for existing subscribers.

4.4 Free Services

Certain features of the Services, including blog content, resources, and the Generosity Personality Types Assessment quiz, are available without subscription. These free services are subject to these Terms but may have limited functionality.

4.5 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content. We may also impose limits on certain features or restrict your access to parts or all of the Services without notice or liability.

4.6 Beta Features

From time to time, we may offer access to services, features, or products that are in beta or pre-release form (“Beta Features”). Participation in Beta Features is voluntary and subject to additional terms that will be presented to you.

4.7 Third-Party Integrations

The Services may integrate with third-party services. Your use of such integrations is subject to the terms and policies of those third parties. We are not responsible for the practices of such third parties.

4.8 Fair Use Policy

While subscriptions include unlimited Assessment distribution, we reserve the right to implement fair use limitations to prevent abuse, including but not limited to automated mass distribution or usage that impairs service performance for other users.

5. PAYMENT TERMS

5.1 Fees and Payment

a. Payment Authorization: By providing payment information, you authorize us to charge the applicable fees to your designated payment method
b. Payment Methods: We accept payment via major credit cards and other methods as indicated on the Services
c. Currency: All fees are in U.S. Dollars unless otherwise specified
d. Processing: Payment processing services are provided by third-party payment processors

5.2 Billing

a. Advance Billing: Subscription fees are billed in advance on an annual basis
b. Billing Date: Renewal charges occur on the anniversary of your initial purchase
c. Invoice: Electronic invoices will be provided via email or through your account dashboard

5.3 No Refunds

ALL SALES ARE FINAL. WE DO NOT OFFER REFUNDS FOR ANY REASON, INCLUDING BUT NOT LIMITED TO:

  • Partial subscription periods
  • Unused services
  • Dissatisfaction with services
  • Technical issues
  • Change in circumstances

5.4 Failed Payments

a. Initial Failure: Upon payment failure, we will notify you via email
b. Contact Attempt: We will attempt to contact you by email and/or phone within 3 business days
c. Grace Period: You have 14 days to update payment information
d. Suspension: After the grace period, we may suspend your access to the Services
e. Reactivation: Suspended accounts will be reactivated upon successful payment

5.5 Taxes

You are responsible for all applicable taxes, and we will charge tax when required by law. All prices are exclusive of applicable sales tax, use tax, value-added tax, and other taxes unless otherwise stated.

5.6 Currency

All fees are quoted and payable in United States Dollars (USD).

6. CANCELLATION AND TERMINATION

6.1 Cancellation by Customer

a. Right to Cancel: You may cancel your subscription at any time
b. Method: Cancellation may be processed through your account settings or by contacting customer support
c. Effective Date: Cancellation prevents renewal but does not terminate current subscription period
d. Access: You retain access to Services through the end of your paid subscription period

6.2 Termination by Company

We reserve the right to terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

a. Breach of these Terms
b. Fraudulent, abusive, or illegal activity
c. Providing false or misleading information
d. Infringement of intellectual property rights
e. Actions harmful to other users or the Company
f. Extended period of inactivity
g. Request by law enforcement or court order
h. Technical or security issues

6.3 Effect of Termination

Upon termination:

a. Access Cessation: Your right to use the Services immediately ceases
b. Data Retention: We may retain certain data as required by law or legitimate business purposes
c. No Refunds: Termination does not entitle you to any refunds
d. Surviving Provisions: Provisions that by their nature should survive termination shall remain in effect

6.4 Data Export Upon Termination

Customers may request data export within 30 days of termination by contacting customer support. After 30 days, we have no obligation to maintain or provide Customer Data.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Company Intellectual Property

a. Ownership: The Services, including all content, features, functionality, information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, arrangement, products, and materials, are owned by the Company, its licensors, or other providers and are protected by United States and international intellectual property laws.

b. Patent Pending Technology: The assessment methodologies and algorithms are patent pending and constitute valuable trade secrets of the Company.

c. Trademarks: WISEgenerosity, Age of Generosity, and associated logos are trademarks of the Company. All other trademarks, service marks, and trade names are the property of their respective owners.

7.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes during the Subscription Term.

7.3 Assessment Results Ownership

a. Joint Ownership: Assessment results are jointly owned by the Company and the Customer who distributed the Assessment
b. Customer Rights: Customers may use, reproduce, modify, and distribute their Assessment results without restriction
c. Company Rights: The Company retains rights to use Assessment Data in aggregated, anonymized form for research, product improvement, and business purposes

7.4 Customer Data

a. Ownership: You retain all rights to Customer Data you submit to the Services
b. License to Company: You grant us a worldwide, royalty-free license to use, reproduce, modify, and analyze Customer Data solely to provide and improve the Services
c. Responsibility: You are solely responsible for the accuracy, quality, and legality of Customer Data

7.5 Feedback

Any suggestions, comments, or other feedback you provide regarding the Services (“Feedback”) becomes the sole property of the Company. The Company shall have exclusive rights to Feedback and may use it for any purpose without compensation or attribution to you.

We respect intellectual property rights. If you believe content on the Services infringes your copyright, please contact us at hello@wisegenerosity.com with:

  • Description of the copyrighted work
  • Location of the allegedly infringing material
  • Your contact information
  • Statement of good faith belief
  • Statement of accuracy under penalty of perjury
  • Your physical or electronic signature

8. USER CONDUCT AND PROHIBITED USES

8.1 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You represent and warrant that your use of the Services will comply with all applicable laws and regulations.

8.2 Prohibited Activities

You agree not to, and not to allow third parties to:

a. Legal Violations: Use the Services for any unlawful purpose or in violation of any laws
b. Harm to Minors: Harm, threaten, or harass minors in any way
c. Harassment: Harass, threaten, demean, embarrass, or harm any other user
d. Impersonation: Impersonate any person or entity or misrepresent your affiliation
e. Spam: Send unsolicited communications or use the Services for spam
f. Malicious Code: Transmit viruses, malware, or other malicious code
g. System Interference: Interfere with or disrupt the Services or servers
h. Unauthorized Access: Attempt to gain unauthorized access to any portion of the Services
i. Reverse Engineering: Reverse engineer, decompile, or disassemble any aspect of the Services
j. Data Mining: Use automated systems to extract data from the Services without permission
k. Circumvention: Bypass or attempt to bypass any security measures
l. Resale: Resell, sublicense, or commercially exploit the Services without authorization
m. Competitive Use: Use the Services to develop a competing product or service
n. Excessive Use: Use the Services in a manner that exceeds reasonable usage patterns
o. False Information: Provide false or misleading information
p. Intellectual Property Violation: Infringe upon intellectual property rights of others

8.3 Enforcement

We reserve the right, but not the obligation, to:

  • Monitor the Services for violations of these Terms
  • Take appropriate legal action against violators
  • Remove or refuse to post any content that violates these Terms
  • Terminate or suspend access for any reason

9. PRIVACY AND DATA PROTECTION

9.1 Privacy Policy

Your use of the Services is subject to our Privacy Policy, which is incorporated by reference into these Terms. By using the Services, you consent to the collection, use, and disclosure of information as described in the Privacy Policy.

9.2 Data Security

We implement commercially reasonable security measures to protect your data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

9.3 Data Processing

a. Assessment Data Sharing: Assessment Recipients acknowledge and consent that their Assessment results will be shared with the Customer who sent the Assessment and retained by the Company
b. Aggregate Data: We may use aggregated, anonymized data for research, analytics, and product improvement
c. Data Location: All data is processed and stored in the United States

9.4 Compliance with Laws

You agree to comply with all applicable data protection and privacy laws in your use of the Services, including obtaining necessary consents from Assessment Recipients.

9.5 Data Breach Notification

In the event of a data breach affecting your personal information, we will notify you in accordance with applicable law.

10. DISCLAIMERS AND WARRANTIES

10.1 “AS IS” BASIS

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

10.2 DISCLAIMER OF WARRANTIES

WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE
  • NON-INFRINGEMENT
  • ACCURACY OF INFORMATION
  • UNINTERRUPTED OR ERROR-FREE SERVICE

10.3 NO PROFESSIONAL ADVICE

THE SERVICES DO NOT CONSTITUTE PROFESSIONAL ADVICE. WE ARE NOT ENGAGED IN RENDERING LEGAL, ACCOUNTING, TAX, FINANCIAL, PSYCHOLOGICAL, OR OTHER PROFESSIONAL SERVICES OR ADVICE. YOU SHOULD CONSULT WITH APPROPRIATE PROFESSIONALS BEFORE MAKING DECISIONS BASED ON ASSESSMENT RESULTS.

10.4 THIRD-PARTY CONTENT

We do not warrant or make any representations regarding third-party content, websites, or services. Any reliance on such content is at your own risk.

10.5 NO GUARANTEE OF RESULTS

We make no guarantee that the Services will meet your requirements or achieve any intended results. Assessment results are provided for informational purposes only.

11. LIMITATION OF LIABILITY

11.1 LIMITATION OF DAMAGES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

a. ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
b. LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
c. DAMAGES RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICES
d. DAMAGES RELATING TO ANY CONDUCT OR CONTENT OF ANY THIRD PARTY
e. DAMAGES RELATING TO UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR DATA

11.2 CAP ON LIABILITY

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

11.3 ESSENTIAL PURPOSE

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

11.4 BASIS OF BARGAIN

YOU ACKNOWLEDGE THAT THE FEES CHARGED BY THE COMPANY REFLECT THE ALLOCATION OF RISK SET FORTH IN THESE TERMS AND THAT THE COMPANY WOULD NOT ENTER INTO THESE TERMS WITHOUT THESE LIMITATIONS.

12. INDEMNIFICATION

12.1 Your Indemnification Obligation

You agree to defend, indemnify, and hold harmless the Company, its affiliates, and their respective directors, officers, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

a. Your breach of these Terms
b. Your violation of any law or third-party rights
c. Your use or misuse of the Services
d. Your Customer Data or any content you submit
e. Your negligence or willful misconduct
f. Any dispute between you and Assessment Recipients
g. Your violation of our Acceptable Use provisions

12.2 Indemnification Procedure

We will provide you with notice of any claim subject to indemnification. You shall have the right to control the defense and settlement of any such claim, provided that you may not settle any claim that imposes liability on us without our prior written consent.

13. DISPUTE RESOLUTION

13.1 Informal Resolution

Before initiating formal dispute resolution proceedings, you agree to contact us at hello@wisegenerosity.com to attempt to resolve any dispute informally. We will attempt to resolve the dispute informally for at least 30 days before either party may initiate formal proceedings.

13.2 Binding Arbitration

a. Agreement to Arbitrate: Any dispute not resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules
b. Location: Arbitration proceedings shall be conducted in Atlanta, Georgia
c. Individual Basis: Arbitration shall be conducted on an individual basis only, not as a class action
d. Arbitrator’s Authority: The arbitrator shall have exclusive authority to resolve all disputes subject to arbitration
e. Costs: Each party shall bear its own costs, except the Company will pay filing fees for claims totaling less than $10,000

13.3 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST THE COMPANY.

13.4 Exceptions to Arbitration

The following disputes are not subject to arbitration:

  • Claims for injunctive or equitable relief related to intellectual property rights
  • Small claims court actions
  • Claims that cannot be arbitrated under applicable law

13.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles.

13.6 Venue

For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia.

14. UNITED STATES ONLY SERVICE

14.1 Geographic Limitation

The Services are offered and available only to users who are located in the United States of America. We make no claims that the Services or any content is accessible, appropriate, or legal outside of the United States.

14.2 Access Restrictions

We reserve the right to block access to the Services from locations outside the United States. Use of VPNs, proxies, or other methods to circumvent geographic restrictions is strictly prohibited and will result in immediate termination of access.

14.3 Compliance with U.S. Laws

By using the Services, you agree to comply with all applicable federal, state, and local laws and regulations of the United States.

14.4 Export Controls

The Services may be subject to U.S. export control laws and regulations. You agree not to export or re-export any aspect of the Services in violation of these laws.

14.5 No International Support

We do not provide customer support, payment processing, or any services to users outside of the United States. International payment methods may not be accepted.

15. MODIFICATIONS TO TERMS

15.1 Right to Modify

We reserve the right to modify these Terms at any time in our sole discretion.

15.2 Notice of Changes

We will provide notice of material changes by:

  • Posting a notice on the Services
  • Sending an email to the address associated with your account
  • Updating the “Last Updated” date

15.3 Acceptance of Modified Terms

Your continued use of the Services after the effective date of modified Terms constitutes acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Services.

15.4 Review Responsibility

You are responsible for reviewing these Terms periodically for changes.

16. ENTERPRISE AND CUSTOM AGREEMENTS

16.1 Availability

We offer enterprise and custom agreements for organizations with specific needs. Such agreements may modify or supersede these standard Terms.

16.2 Precedence

In the event of a conflict between these Terms and a signed enterprise agreement, the enterprise agreement shall control.

17. MISCELLANEOUS PROVISIONS

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and the Company regarding the Services.

17.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term, and any failure to assert a right or provision shall not constitute a waiver of such right or provision.

17.4 Assignment

a. By You: You may not assign or transfer these Terms or any rights hereunder without our prior written consent
b. By Us: We may assign these Terms at any time without notice to you

17.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

17.6 Relationship of Parties

Nothing in these Terms creates any agency, joint venture, partnership, or other form of joint enterprise between you and the Company.

17.7 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly provided herein.

17.8 Headings

Section headings are for reference only and do not limit the scope or extent of such section.

17.9 Construction

These Terms shall not be construed against the Company as the drafter.

17.10 Time Limitations

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.

17.11 Electronic Communications

You consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

18. NOTICE AND COMMUNICATION

18.1 Notice to Company

18.2 Notice to You

We may provide notice to you via:

  • Email to the address associated with your account
  • Posting on the Services
  • Written communication to the address on file

18.3 Effectiveness of Notice

Notice shall be deemed given:

  • For email: 24 hours after email is sent
  • For posting: Upon posting to the Services
  • For mail: 3 days after deposit in the mail

19. CALIFORNIA RESIDENTS

If you are a California resident, you may have additional rights under California law, including under the California Consumer Privacy Act. Please refer to our Privacy Policy for more information.
